Policy 11 - Code of Ethics and Rules of Conduct Purpose The Board of Trustees (BOT) of the Village Grande at English Mill Homeowners Association (VGEM) has the power and the responsibility to make decisions for the Association (“Community”) and to appoint Trustees, Officers, and Committees as well as for setting a standard and tone for behavior that is in the best interest of the Community. Authority As given in the Declaration of Governing Documents, By-Laws of VGEM, Article VI-XII. Scope This policy applies to Board Members, Finance Committee Members, and Committee Chairpersons and may include Volunteers as deemed necessary by the Board of Trustees. Responsible Party The Board of Trustees Policy Statement APPLICABLE INDIVISUALS, AS IDENTIFIED IN THIS POLICY’S SCOPE WILL 1. Always serve the best interests of the community regardless of their personal interests. 2. Provide the best sound judgement to make the optimum business decisions for the community, taking into consideration all available information, circumstances, and resources. 3. Act within their authority as defined by the law and the governing documents of the community. 4. provide opportunities for the community to comment on decisions facing the HOA. 5. Perform their duties without bias for or against any community member or group of members or non-owner residents. 6. Disclose personal or professional relationships with any company or individual who has or is seeking to have a business relationship with the association. 7. Conduct open, fair, and well-publicized elections. 8. The BOT will always speak with one voice, supporting all duly adopted Board decisions; even if the speaker was in the minority regarding actions that may not have obtained unanimous consent. 9. Follow proper parliamentary procedure as published in Roberts Rules. 10. Agree to abide by this policy. Board members, Finance Committee members, Committee Chairs, and any volunteers, when deemed necessary by the BOT, will be required to sign a letter of agreement stating that they will adhere to this policy. APPLICABLE INDIVIDUALS AS IDENTIFIED IN THIS POLICY’S SCOPE WILL NOT 1. Reveal confidential information provided by contractors or share information with those bidding for association contracts unless authorized by the BOT. 2. Make unauthorized promises to a contractor or bidder. 3. Advocate or support any actions or activity that violates a law, regulatory requirement, or governing documents. 4. Use their positions or decision-making authority for personal gain or to seek advantage over another owner or non-owner resident. 5. Spend unauthorized association funds for their own personal use or benefit or use any association equipment not generally available to the community members without BOT approval. 6. Accept any free gifts or services directly or indirectly from owners, contractors or suppliers. 7. Misrepresent known facts in any issue involving association business. 8. Divulge personal information about community owners, non-owner residents or contracted staff that was obtained in the performance of Board or volunteer duties. 9. Make personal attacks on colleagues, community residents or contracted staff. 10. Harass, threaten, or attempt through any means to control or install fear in any Board member, owner, non-owner resident, or contractor. 11. Reveal to any owner, non-owner resident or other third party the discussions, decisions and comments made at any meeting of the Board properly closed or held in Executive session. This also applies to all committee meetings where confidential information is discussed and/or distributed. 12. Engage, in drug, alcohol or substance abuse. REPORTING VIOLATION OF THIS POLICY: Any perceived violations will be reported to the President of the BOT via the Community Manager. However, if the Community Manager is perceived to be involved, the violation will be made directly to the President.
